Regular organization of general meetings, meetings of boards of directors, supervisory boards and other companies’ bodies, including preparation of agenda, drawing-up minutes and decisions from meetings, form an inseparable part of the package of our services.
Within the so called corporate governance we elaborate partnership agreements for equities and salary partnership and, based on individual cognizance of the client’s company, we also set conditions of transfer of business shares, remuneration of partners, agreements on CALL and PUT options, or possibilities to exit from a company. We also engage in adjustment and commenting of contractual relationships (including management contracts and contracts on execution of function of executive/member of board of directors/member of supervisory board) in the company.

M&A and acquisitions and joint venture

ECOVIS DT LEGAL provides a legal coverage for all types of mergers of business partners, regardless of whether they choose permanent or temporary cooperation. Partner’s Due Diligence, verification of a history, ownership structures, corporate documentation, existing and past projects, financial conditions etc. form an inseparable part of most of the transactions.
We process the legal agenda in the so called tailored way, i.e. on behalf of a client we solve all legal and legal-technical issues connected with the most appropriate set-up of a transaction, payment terms, guarantees etc. Complex elaboration of transactional documentation, respectively its commenting, related/connected corporate changes and fulfilment of obligations towards public administration bodies are a part thereof.

Securities law

The lawyers of our office have wide experience in advising on issuance and choice of suitable form of shares when establishing a joint-stock company, issuance of interim certificates, bonds, promissory notes, cheques and other securities. We provide legal services with a focus on transfers, changes of forms, shapes and on registrations of emissions of securities pursuant to the Act on securities and investment services and other acts.Elaboration and commenting of sales contracts, contracts on provision of transfer of securities and contracts on establishment of a lien to securities form an inseparable part of our services. We provide our clients with assistance on promissory notes (coacceptation of promissory notes, enforcing of rights of a promissory note by protest etc.) as well as cheque operations.

Real estate

We provide our clients with complex services commencing with pre-contractual consideration and identification of all risks connected to transfers of ownership rights to real estate, through verification of former acquisition titles, impacts of possible existing rights of third parties on the intended transaction and its tax aspects, as well as verification and provision of necessary consents and approvals with the transfer. Elaboration of a complex documentation (contracts, proposals, offers or requests) depending on the nature of transaction, in order to handle possible burdens, pre-emption rights, liens or other rights, is also included.Our advantage is several years of experience and set-up of multiple transactions’ structures with an emphasis on safe financing (including communication with banks and credit institutions). We also engage in financial estimations in relation to recoverability of investments and sources of financing.

In our legal practice we put the accent on legal consulting in the area of authorial rights and rights related thereto, including consideration, commenting and elaboration of draft license agreements; the same applies to industrial property rights.

Legal representation before civil courts

A qualified legal representation before civil courts of the Slovak Republic of all instances, as well as the Constitutional court, is a standard part of our legal practice.

In case the solution of a dispute by court proves as unavoidable, we are ready to elaborate all kinds of court filings (actions, statements, preliminary orders, motions for issuance of decisions in shortened proceedings, ordinary and extraordinary remedies) and cover court proceedings from the organizational and technical side. While doing so, we guarantee efficient conduct of court proceedings including acts aimed at prevention of court delays (complaints, urgencies, prejudice objections etc.) as well as acts leading to reconciliation.

Negotiations

When providing legal services we focus primarily on the result, being the client’s satisfaction. We are aware of the fact that in case of a conflict of interests a dialogue is one of most effective solutions leading to its achievement. Therefore, leading of negotiations in two or more sided relationships of any kind (including collective bargaining) forms important part of our practice. Arbitrations

Arbitration is becoming more and more popular among alternatives of disputes resolution; it starts with a proper elaboration of arbitration contracts or arbitration clauses and of course with the choice of a proper arbitration court.We provide our clients with a legal representation before arbitration courts in the Slovak and English languages according to the choice of legislation (including preliminary consideration of materials for proceedings before arbitration court, authority of arbitration court and fulfilment of conditions for initiation of arbitration proceedings), which includes also elaboration of all kinds of filings (including actions, motions for issuance of preliminary orders, replies, statements, memoranda, objections etc.), processing of documentary and other evidence (and its translation), organizational coverage of processing of expert opinions and witness statements and interpreters. Tax law

We offer our clients comprehensive legal consulting in the area of taxes, which includes tax optimization and development strategy planning, companies with the advantage of onshore and offshore structures, including optimization of tax payments burdening recipients of dividends. We dispose of wide experience in representation of clients before public administration authorities of any instances, including central public administration bodies, customs and tax authorities, environmental authorities, building or cadastral offices. We offer tailored legal consulting in all kinds of transactions in the area of real estate and development projects, from simple ones to highly specialized building projects. The lawyers of DT LEGAL are ready to solve questionable issues, elaborate complex legal documentation related to a transaction, including adjustment of contractual relationships (between developers, owners, future users, lessees, building companies, architects and other subjects, which participate in a particular project) in the area of construction.

Our clients can rely on highly professional services when representing them in zoning or building proceedings and managing for related permissions, decisions and other documents necessary for execution of construction of any real estate (zoning decisions, building permissions, final building approvals), including construction of access roads, sewerage connections, connection to energy distribution etc.

We dispose of wide experience in bankruptcy proceedings, that in relation to the company in bankruptcy itself on one side and also towards creditors on the other side. We provide the creditors with strategic services for protection of their property rights (mainly in cases of incomplete supplies, where subsuming under bankruptcy assets impends) and represent them in negotiations aimed at purchase of receivables of other bankruptcy creditors.

In case of a liquidation we are ready, besides particular action from decision on dissolution of a company until its erasure from companies registry, to provide for a representation in potential tax control and authorization of an attorney at law of our law office to act as a liquidator.

We elaborate property analyses and strategies of its protection for our clients, and that both, for private and business sphere.

In the area of private wealth analysis, clients are interested in distribution of property between natural persons (most often relatives) and companies, or planning its administration, admission thereto and securing a family for case of death, long-lasting disease or other unexpected life situations, can fully rely on us.

We prepare tailored motivation partnership structures for entrepreneurs on both, equity and salary partnership level. We provide assistance in creation of concern structures, within the scope of which we set internal relations (including among connected persons), at both, vertical and horizontal level. We put emphasis on legal consulting in the area of property and economic criminality, mainly in relation to tax crimes, fraudulent behaviour, breach of obligations of administration of somebody else’s property and harming interests of creditors. The package of our services comprises defence and representation of harmed and involved parties in criminal proceedings, elaboration of filings in this respect (criminal announcements, statements), processing of documentary evidence and participation in investigation acts. Initiation of inspection of decisions issued by authorities of law enforcement via filing of complaints and incentives (according to the Prosecution Act) is an inseparable part of our services.

Sports law

As a part of complex of our services, we support individual sportsmen or sports teams, not only in the area of contractual relationships with sports clubs, unions, but also in relation to advertising partners and sponsors.
